PhoennixAI — Non-Disclosure Agreement

This Non-Disclosure Agreement ("Agreement") is entered into between PhoennixAI ("Disclosing Party"), incorporated in England and Wales, and the undersigned Beta Tester ("Receiving Party") as of the date of digital signature.

1. Confidential Information

"Confidential Information" means any non-public information disclosed by PhoennixAI relating to: the Mission Control Command Centre; the Business Operating System (all 7 modules); source code, database schemas, API specifications; AI agent architecture; product roadmap, pricing, commercialisation strategy; customer data, player profiles, business intelligence; token economy design; and any other proprietary technology or business information.

2. Obligations

The Receiving Party agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose it to any third party without prior written consent; (c) use it solely for evaluating and testing the Beta Programme; (d) notify PhoennixAI immediately upon discovery of any unauthorised disclosure; (e) not copy, reproduce, or create derivative works.

3. Beta Programme Terms

Beta access is non-transferable, revocable, and provided "as-is" without warranty. Beta Testers may not benchmark, reverse-engineer, sub-licence, or use beta access for commercial gain without written agreement. All bug reports, feature requests, and feedback become the exclusive intellectual property of PhoennixAI.

4. Intellectual Property

Nothing in this Agreement grants any licence, right, title, or interest in PhoennixAI's intellectual property, including the BOS architecture, AI agent system, Snowy companion technology, or any associated trademarks.

5. Data Protection & GDPR

PhoennixAI processes personal data in accordance with UK GDPR and the Data Protection Act 2018. Tester data is used solely for beta programme administration. Data is stored on encrypted infrastructure within the EU. You have the right to access, rectify, and erase your data by contacting valerie@phoennixai.com.

6. Term & Termination

This Agreement commences on the date of digital signature and remains in force for 36 months. Confidentiality obligations survive termination indefinitely for trade secrets, and for 5 years for all other Confidential Information.

7. Electronic Signature Validity

The digital signature below constitutes a legally binding electronic signature under the Electronic Communications Act 2000 and EU Regulation 910/2014 (eIDAS). The signature, date, time, and document reference create a legally enforceable agreement.

8. Governing Law

This Agreement is governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
